August 2nd, 2024 - Board Meeting Notes
Quorum Check and Proof of Notice
Board members in attendance were Marek Bakun (HOA board president), William Brock, Hunter Harman, Randy Plank and Herman Zacherl. Burg Management employees present were Brian Murphy and Tammy Mallory. Brandon Burg, HOA attorney, was also present.
Approval of June 5, 2024 minutes
Meeting minutes were approved with correction of a name. The approval of the April 1, 2024 meeting minutes were tabled again to allow Hunter Harman (new board member) time to review, as he was not present at the April 1st meeting. Bakun and Brock have voted to approve, but Plank and Zacherl oppose.
Financial Report
Brian Murphy presented the financial report. The HOA has spent approximately $88k less than budgeted at the end of Jun 30.
Marek Bakun asked about $162,477 spent from the insurance funds in July. Brian Murphy will provide the requested records at the next meeting, to include income reports for all accounts (operating, reserves, enhancement, and insurance).
Approximately $54k in delinquencies currently; not including most recent quarterly assessment. Ten properties will be sent a “intent to lien” notification.
Owners requested that financial reports be posted on a monthly basis on TownSq; Marek agreed. Burg Management agreed that this was possible and would align with recent changes in state statutes regarding transparency.
An owner asked if the 2022 Audit had been completed and if a copy could be provided. The owner also asked if a 2024 Reserve Study had been scheduled as recommended by previous CAM at the annual meeting in December 2023.
Manager Report - Links: Meeting Packet
Discussions included pier updates, mailbox station staining, completion of bushhogging, and boat basin cameras, and west end mailbox installation.
Brian Murphy stated that fines were not being assessed for gate arm damage as he did not have a record of vehicle tags; fines are assessed if the person can be identified by the cameras. Owners commented that this information was provided by residents upon camera installation. Brian is to work with the Sheriff’s department and camera security system to identify those responsible for property damage to the gates.
Committee Reports
Social: The Back to School event will be held on 8/2 in conjunction with the monthly Food truck.
Enhancement: The AED has been installed at the Boat Basin.
Firewise: At the request of the HOA president, the committee gave a presentation on the Firewise program including the wildfire risks within our community and mitigation strategies. The HOA board approved a Not to Exceed purchase order of $50,000 to assist with additional Firewise mitigation clearing. The highest priority is to maintain Preservation Drive as it is the safety exit road out of the community. The committee requested the assistance of St Joe Forestry to assist with the firewise mitigation in the common areas/conservation areas.
The Rules and Enforcement committee is waiting on guidance to be provided by Brandon Burg. New legislature regarding HOA fines has delayed this process. Brandon Burg stated it will be ready by next meeting.
The HOA president requested all permanent committees (Rules and Enforcement; Design Review Committee) be on the agenda in the future.
Old Business
Short Term Rental Survey: 83% voted in favor of amending governing documents to restrict rentals to a minimum duration of 6 months or greater. The HOA president instructed the HOA attorney to work with the St Joe attorney to amend the governing documents. The effective date of this policy will be the signature date of the policy and the policy change is expected prior to the next HOA meeting. A board vote was taken on this policy change and all members voted in approval.
Security Camera at Boat Basin: The mobile security camera is being rented on a month-to-month basis.
New Business
Rebuild update: HOA attorney said a productive mediation meeting was held with owners’ attorney and another mediation is being scheduled for August.
The HOA board presented a motion to a) re-establish the Rebuild committee; b) restart the pool and pavilion work already under contract; c) finish the design of the Riverhouse/Fitness Center, so that a Guaranteed Maximum Price (GMP) can be established.
All board members voted in favor of the proposal. The HOA president emphasized this motion is to proceed with all 3 construction phases (pool; pavilion; riverhouse and fitness center design as presented by the Rebuild Committee previously).
Concurrent with the pool and pavilion construction, the Board will pursue all available means to fund the Rebuild after the ~$4 million of insurance money is spent. There is a possibility this will include a special assessment; however, the Board’s intent is to pursue all available funding options prior to assessing owners.
The HOA president and HOA Attorney stated that an owner vote would not be required, should there be a special assessment, as the arson damage is considered a casualty loss.
Questions regarding Builder’s Risk Insurance were discussed. Randy Plank will work with the Rebuild Committee.
The final Riverhouse/Fitness Center plans are estimated to be done in a few months. The pool/pavilion permits were approved in early summer. The Rebuild Committee requested a letter from the Board to give to the contractor to restart pool/pavilion work. This will be provided ASAP.
Owners Comments
Concerns were raised regarding the current landscaping company, specifically regarding maintenance of properties on the West End. The Board president stated that the West End needs to be maintained equally, and the current situation is unacceptable. A board member stated other landscaping proposals were being actively pursued as well as withholding payment to the current company for incomplete work.
Many owners commented regarding the rebuild plan. Comments included the negative impact on property values/sales due to current rebuild uncertainty and lack of amenities, and funding options including pursing at-fault parties. Other comments asked why the board hadn't pursued at-fault parties until now and also if it made sense to proceed with pool/pavilion but wait on Riverhouse/Fitness Center until the GMP was known.
The meeting was adjourned.
